“南北船”合并正式拉開序幕

7月1日晚間,中(zhong)(zhong)國(guo)(guo)(guo)船(chuan)(chuan)(chuan)舶(bo)工(gong)(gong)業集(ji)(ji)團有限公(gong)(gong)司和中(zhong)(zhong)國(guo)(guo)(guo)船(chuan)(chuan)(chuan)舶(bo)重(zhong)(zhong)(zhong)工(gong)(gong)集(ji)(ji)團有限公(gong)(gong)司兩大集(ji)(ji)團旗下合計9家上市公(gong)(gong)司齊刷刷發(fa)布(bu)公(gong)(gong)告(gao),其中(zhong)(zhong),中(zhong)(zhong)國(guo)(guo)(guo)重(zhong)(zhong)(zhong)工(gong)(gong)、中(zhong)(zhong)國(guo)(guo)(guo)海防、中(zhong)(zhong)國(guo)(guo)(guo)動(dong)力、中(zhong)(zhong)國(guo)(guo)(guo)應急、久之(zhi)洋等(deng)5家公(gong)(gong)司發(fa)布(bu)公(gong)(gong)告(gao)稱,接(jie)實(shi)際控制人中(zhong)(zhong)船(chuan)(chuan)(chuan)重(zhong)(zhong)(zhong)工(gong)(gong)通知(zhi),中(zhong)(zhong)船(chuan)(chuan)(chuan)重(zhong)(zhong)(zhong)工(gong)(gong)正與(yu)中(zhong)(zhong)船(chuan)(chuan)(chuan)集(ji)(ji)團籌劃戰略(lve)性重(zhong)(zhong)(zhong)組(zu),而中(zhong)(zhong)國(guo)(guo)(guo)船(chuan)(chuan)(chuan)舶(bo)、中(zhong)(zhong)船(chuan)(chuan)(chuan)防務、中(zhong)(zhong)船(chuan)(chuan)(chuan)科技和中(zhong)(zhong)國(guo)(guo)(guo)船(chuan)(chuan)(chuan)舶(bo)租賃等(deng)4家公(gong)(gong)司也發(fa)布(bu)公(gong)(gong)告(gao)稱,接(jie)控股股東中(zhong)(zhong)船(chuan)(chuan)(chuan)集(ji)(ji)團通知(zhi),中(zhong)(zhong)船(chuan)(chuan)(chuan)集(ji)(ji)團正與(yu)中(zhong)(zhong)船(chuan)(chuan)(chuan)重(zhong)(zhong)(zhong)工(gong)(gong)籌劃戰略(lve)性重(zhong)(zhong)(zhong)組(zu)。

上述(shu)相(xiang)關上市公(gong)司均(jun)強調,本(ben)次控(kong)股(gu)股(gu)東戰略性(xing)(xing)重(zhong)組事項正處于籌劃階段,有關事項具有不(bu)確定性(xing)(xing)。傳聞多時的兩大造船集團(tuan)戰略性(xing)(xing)重(zhong)組一事終于得(de)到官方證實,標志“南北船”合并正式(shi)提(ti)上日程。

值(zhi)得一提的是,此(ci)次(ci)戰略性重(zhong)組集(ji)體“官宣”之(zhi)日(ri)正值(zhi)兩大造船集(ji)團(tuan)成立20周(zhou)年的紀念日(ri)。1999年7月1日(ri),原中(zhong)國船舶(bo)工業總公司撤銷,兩大造船集(ji)團(tuan)正式組建(jian)。

今年(nian)(nian)7月1日,是(shi)中(zhong)國共產黨建黨98周年(nian)(nian),20年(nian)(nian)前的(de)今天(tian)也正是(shi)兩大集團正式成立的(de)日子,選擇7月1日宣布顯然是(shi)有著特殊的(de)意(yi)義。

早在2016年10月8日(ri),胡問(wen)鳴首次(ci)向(xiang)媒(mei)體作出“造船業(ye)(ye)合并是(shi)大勢所趨”,“南北(bei)船合并這件(jian)事(shi),我(wo)們一切(qie)聽從中(zhong)央的(de)安排(pai)”的(de)回應。從此,“南北(bei)船合并只是(shi)時間(jian)(jian)(jian)問(wen)題”的(de)說法幾乎成了業(ye)(ye)內(nei)的(de)共識(shi)。如今看來,南北(bei)船合并確實是(shi)時間(jian)(jian)(jian)問(wen)題,但要選擇(ze)一個最(zui)合適的(de)時間(jian)(jian)(jian),而今年的(de)7月1日(ri)顯(xian)然是(shi)一個最(zui)好的(de)時間(jian)(jian)(jian)。

分久必合(he),“南北船”終于合(he)體(ti)

“南北船”曾經也(ye)本來就是一(yi)家。

中(zhong)船(chuan)集(ji)團與中(zhong)船(chuan)重工均成(cheng)立于1999年7月1日,由原(yuan)第六機械工業部轉制而(er)來的中(zhong)國船(chuan)舶工業總公司分拆成(cheng)立,是(shi)目前我國造船(chuan)行業兩大(da)國企。

早在(zai)1963年(nian)9月(yue),國(guo)(guo)務(wu)院決定將船舶工業(ye)從三機部(bu)分出(chu)來(lai)成(cheng)立(li)第六機械工業(ye)部(bu)。1982年(nian)5月(yue),經國(guo)(guo)務(wu)院批準,在(zai)六機部(bu)135個企(qi)事業(ye)單(dan)位和交通(tong)部(bu)15個企(qi)事業(ye)單(dan)位基礎上組建成(cheng)立(li)中國(guo)(guo)船舶工業(ye)總公(gong)司(si)。

而在(zai)國企改革背景下,1999年7月(yue),中國船(chuan)舶工業總公司一(yi)分(fen)為二,成立中國船(chuan)舶工業集團(tuan)(tuan)公司(俗稱南船(chuan))和中國船(chuan)舶重工集團(tuan)(tuan)公司(俗稱北船(chuan))。

中(zhong)(zhong)船集(ji)團(tuan)組建(jian)于1999年7月1日,是在(zai)原中(zhong)(zhong)國船舶工業總公司(si)所屬部(bu)門企事業單位(wei)基礎上組建(jian)的中(zhong)(zhong)央(yang)直(zhi)屬特大型國有企業,在(zai)世界(jie)500強中(zhong)(zhong)名(ming)列第364位(wei)。

中(zhong)(zhong)船(chuan)(chuan)(chuan)集(ji)團是(shi)中(zhong)(zhong)國(guo)船(chuan)(chuan)(chuan)舶工(gong)(gong)業(ye)的主要(yao)力量,旗下(xia)聚集(ji)了一批中(zhong)(zhong)國(guo)最具實力的骨干造(zao)修船(chuan)(chuan)(chuan)企(qi)業(ye)、船(chuan)(chuan)(chuan)舶研究設計院(yuan)所、船(chuan)(chuan)(chuan)舶配套企(qi)業(ye)及船(chuan)(chuan)(chuan)舶外貿公(gong)司,共有(you)約(yue)60家獨資和(he)持(chi)股企(qi)事業(ye)單(dan)位(wei),產(chan)品涵蓋(gai)散貨船(chuan)(chuan)(chuan)、油船(chuan)(chuan)(chuan)、集(ji)裝(zhuang)箱船(chuan)(chuan)(chuan)等主要(yao)船(chuan)(chuan)(chuan)型和(he)液化天然氣(qi)船(chuan)(chuan)(chuan)(LNG船(chuan)(chuan)(chuan))、海(hai)洋工(gong)(gong)程裝(zhuang)備等高技術、高附加值產(chan)品。截至2017年底,中(zhong)(zhong)船(chuan)(chuan)(chuan)集(ji)團擁(yong)(yong)有(you)40余家二級單(dan)位(wei),分布(bu)在北(bei)京、上(shang)(shang)海(hai)、廣東、江(jiang)蘇、江(jiang)西(xi)(xi)、安徽、廣西(xi)(xi)、香港等地,擁(yong)(yong)有(you)中(zhong)(zhong)國(guo)船(chuan)(chuan)(chuan)舶工(gong)(gong)業(ye)股份(fen)有(you)限(xian)公(gong)司、中(zhong)(zhong)船(chuan)(chuan)(chuan)海(hai)洋與(yu)防務(wu)裝(zhuang)備股份(fen)有(you)限(xian)公(gong)司、中(zhong)(zhong)船(chuan)(chuan)(chuan)科技股份(fen)有(you)限(xian)公(gong)司3家上(shang)(shang)市公(gong)司。

中(zhong)(zhong)船(chuan)重(zhong)(zhong)工(gong)成立于1999年(nian)7月1日,是由(you)原中(zhong)(zhong)國船(chuan)舶工(gong)業總公司部分企(qi)(qi)事業單(dan)位(wei)重(zhong)(zhong)組成立的特大型(xing)國有(you)企(qi)(qi)業。截至2018年(nian),中(zhong)(zhong)船(chuan)重(zhong)(zhong)工(gong)已連續7年(nian)入選世界(jie)500強企(qi)(qi)業,排名第245位(wei),位(wei)居(ju)全球船(chuan)舶企(qi)(qi)業首位(wei)。擁有(you)上市平臺公司5家(jia),境外機構18家(jia),二級成員(yuan)單(dan)位(wei)95家(jia),其(qi)中(zhong)(zhong)二級企(qi)(qi)業66家(jia),科研(yan)院所29家(jia),總資產5002億元,員(yuan)工(gong)17萬人(ren)。

在分家之后,二十年的發展中,兩家公司(si)均(jun)已成為(wei)行(xing)業“巨無(wu)霸”,資(zi)產規模(mo)超過千億,成為(wei)行(xing)業龍頭。

2018年(nian),中(zhong)船集團營業總(zong)收入1144億(yi)元(yuan)(yuan),凈(jing)利(li)潤(run)約25億(yi)元(yuan)(yuan);中(zhong)船重工營業總(zong)收入3050億(yi)元(yuan)(yuan),凈(jing)利(li)潤(run)69億(yi)元(yuan)(yuan)。

2014年開(kai)始醞釀合并,高層(ceng)頻繁(fan)“換(huan)崗”

關于南北船合(he)并的傳聞(wen)已多次傳出(chu),期間,兩家公司也完成了多次領導層互(hu)調(diao)。

對于“南北(bei)船”合并的(de)猜想由來(lai)已(yi)久,早(zao)在2015年(nian)初,就有集(ji)團老領導指(zhi)出(chu),船舶工業(ye)是一個不可割裂的(de)整體,將(jiang)兩大(da)集(ji)團分割開來(lai),導致(zhi)兩大(da)集(ji)團多年(nian)來(lai)均存在發展的(de)短板,會致(zhi)使(shi)中國(guo)船舶工業(ye)的(de)產品建造能(neng)力(li)難以得到有效提升(sheng),其建議將(jiang)船舶工業(ye)兩大(da)集(ji)團進行(xing)合并。

隨(sui)后(hou),2015年(nian)3月(yue)25日,中(zhong)船(chuan)集團(tuan)和中(zhong)船(chuan)重工(gong)同日召開大會并(bing)宣布領導(dao)層“對調”,使(shi)得合并(bing)預期(qi)升溫。隨(sui)后(hou)的(de)幾(ji)年(nian),兩大集團(tuan)高層開始頻繁“換崗”。

2015年3月,時任中(zhong)船集團董(dong)事長(chang)胡(hu)問鳴調任中(zhong)船重(zhong)(zhong)工董(dong)事長(chang)、黨(dang)組(zu)書(shu)記(ji),中(zhong)船重(zhong)(zhong)工副(fu)總經理董(dong)強調任中(zhong)船集團董(dong)事長(chang)。2018年6月,時任中(zhong)船重(zhong)(zhong)工副(fu)總經理楊金成調任中(zhong)船集團總經理、黨(dang)組(zu)副(fu)書(shu)記(ji)。

事實上,“南(nan)北船”合并早在2014年(nian)便開始醞釀,但進度一(yi)直較為緩(huan)慢。

國資委(wei)主任肖(xiao)亞慶在今(jin)年全國兩會期間曾表示,要積(ji)極(ji)穩(wen)妥地(di)推進裝備制(zhi)造(zao)、造(zao)船(chuan)等領(ling)域(yu)的戰略性重(zhong)組,持續推動海工設備等領(ling)域(yu)的專業化整合,不斷提高資源的配置效率。彼時,這番表態也曾被(bei)市場(chang)理(li)解為船(chuan)舶產業將(jiang)會引(yin)來一場(chang)大的變革。

上(shang)述整合(he)融合(he)思(si)路(lu)公布之后的一(yi)周內,中船(chuan)重(zhong)工(gong)(gong)黨(dang)組(zu)書(shu)記(ji)、董(dong)事(shi)長胡問鳴(ming)一(yi)行(xing)便(bian)與中船(chuan)集團黨(dang)組(zu)書(shu)記(ji)、董(dong)事(shi)長雷(lei)凡培舉行(xing)座談,共商(shang)"擴大合(he)作"細項。當時,雙(shuang)方圍繞(rao)共同(tong)服務國(guo)家戰略,就(jiu)進(jin)(jin)一(yi)步加強溝通交流、擴大合(he)作范圍、促進(jin)(jin)優勢(shi)互補,攜手推(tui)動我國(guo)船(chuan)舶工(gong)(gong)業實現高(gao)質量發展進(jin)(jin)行(xing)了深(shen)入交流并(bing)達成共識。

“合并同類”,資產重組早已悄然啟動

雖然(ran)南北船集團層面(mian)的重(zhong)組(zu)一(yi)直是傳(chuan)聞,但(dan)兩船內部(bu)的資(zi)產(chan)重(zhong)組(zu)已悄然(ran)啟動,兩船多家下屬上市公司今年以(yi)來均發布了資(zi)產(chan)重(zhong)組(zu)方案或計劃。

早在2016年(nian)開始,中(zhong)(zhong)國(guo)(guo)(guo)重(zhong)(zhong)工(gong)(gong)(gong)(gong)就不斷推進資本運(yun)作。比如(ru),當(dang)年(nian)2月(yue)份,中(zhong)(zhong)國(guo)(guo)(guo)重(zhong)(zhong)工(gong)(gong)(gong)(gong)把(ba)陜柴重(zhong)(zhong)工(gong)(gong)(gong)(gong)、重(zhong)(zhong)慶(qing)齒輪箱轉讓給中(zhong)(zhong)船(chuan)重(zhong)(zhong)工(gong)(gong)(gong)(gong);2017年(nian)10月(yue),中(zhong)(zhong)國(guo)(guo)(guo)重(zhong)(zhong)工(gong)(gong)(gong)(gong)計劃(hua)定(ding)增募資220億左右(you),購買大船(chuan)重(zhong)(zhong)工(gong)(gong)(gong)(gong)42.99%的股(gu)權和武(wu)(wu)船(chuan)重(zhong)(zhong)工(gong)(gong)(gong)(gong)36.15%的股(gu)權;去(qu)年(nian)12月(yue),中(zhong)(zhong)國(guo)(guo)(guo)重(zhong)(zhong)工(gong)(gong)(gong)(gong)又(you)將旗下的青島武(wu)(wu)船(chuan)等股(gu)權賣(mai)給中(zhong)(zhong)船(chuan)重(zhong)(zhong)工(gong)(gong)(gong)(gong),卸下海工(gong)(gong)(gong)(gong)業務資產。

2019年(nian)二季度以來,南(nan)北船(chuan)(chuan)(chuan)(chuan)體系(xi)資(zi)本運作(zuo)的(de)節奏(zou)明顯加快。一方(fang)面,南(nan)船(chuan)(chuan)(chuan)(chuan)通過(guo)資(zi)產(chan)置換和重組(zu)的(de)方(fang)式重整了旗(qi)下兩個上市公(gong)(gong)司(si)的(de)資(zi)產(chan),將(jiang)(jiang)船(chuan)(chuan)(chuan)(chuan)用動力業務歸集到中船(chuan)(chuan)(chuan)(chuan)防務,同時把造船(chuan)(chuan)(chuan)(chuan)資(zi)產(chan)歸集到中國船(chuan)(chuan)(chuan)(chuan)舶;另一方(fang)面,北船(chuan)(chuan)(chuan)(chuan)體系(xi)內(nei),中國重工(gong)將(jiang)(jiang)青島軌道(dao)注入(ru)上市公(gong)(gong)司(si),吸(xi)納(na)新的(de)優(you)質資(zi)產(chan),同時通過(guo)破產(chan)清(qing)算,出清(qing)旗(qi)下不(bu)良資(zi)產(chan)。

率先啟動(dong)內部(bu)資產重組的(de)是(shi)中船(chuan)集團下屬的(de)中船(chuan)科(ke)技(ji),今年(nian)3月初,中船(chuan)科(ke)技(ji)公(gong)告稱,計劃以(yi)發行股份及支(zhi)付現金(jin)的(de)方式(shi)購買(mai)海鷹(ying)企業(ye)集團有限(xian)責任公(gong)司100%股權等資產并募(mu)集配套(tao)資金(jin)。

4月初,中(zhong)(zhong)(zhong)國船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)舶(bo)(bo)和(he)中(zhong)(zhong)(zhong)船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)防務公布了資產重組(zu)方案。根據方案,中(zhong)(zhong)(zhong)國船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)舶(bo)(bo)將(jiang)收購江南造船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)、廣船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)國際和(he)黃埔文沖等(deng)資產,中(zhong)(zhong)(zhong)船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)防務則將(jiang)收購滬東重機、中(zhong)(zhong)(zhong)船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)動(dong)力(li)、中(zhong)(zhong)(zhong)船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)三井、中(zhong)(zhong)(zhong)船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)動(dong)力(li)院等(deng)資產。如果(guo)上述重組(zu)順利(li)完(wan)成,中(zhong)(zhong)(zhong)國船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)舶(bo)(bo)、中(zhong)(zhong)(zhong)船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)防務將(jiang)分(fen)別成為中(zhong)(zhong)(zhong)船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)集團的船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)舶(bo)(bo)總裝資產平(ping)臺(tai)、船(chuan)(chuan)(chuan)(chuan)(chuan)(chuan)舶(bo)(bo)動(dong)力(li)資產平(ping)臺(tai)。

從南北船(chuan)下(xia)屬上市(shi)(shi)公司(si)的(de)一系列內(nei)部重(zhong)組(zu)(zu)來看,兩(liang)船(chuan)均圍(wei)繞船(chuan)舶總裝、船(chuan)舶動力及高科技產業形(xing)成了各自體系內(nei)的(de)上市(shi)(shi)平臺;參照南北車(che)等央企合(he)并(bing)案例,集(ji)團重(zhong)組(zu)(zu)后,往往會實施上市(shi)(shi)公司(si)層面(mian)的(de)“合(he)并(bing)同類項”,相關上市(shi)(shi)公司(si)在(zai)未(wei)來兩(liang)船(chuan)合(he)并(bing)后將如(ru)何運作值得期待。

在(zai)業內(nei)人士看(kan)來,本次重組可視為“南船(chuan)(chuan)(chuan)”內(nei)部(bu)的(de)資產全面整(zheng)合,意味(wei)著“南船(chuan)(chuan)(chuan)”的(de)資產整(zheng)合思路轉向按功能和專業分類(lei)。這(zhe)(zhe)與此(ci)前“北船(chuan)(chuan)(chuan)”中(zhong)船(chuan)(chuan)(chuan)重工按照“分板(ban)塊(kuai)上市”思路打造三大(da)專業資產整(zheng)合平臺如出一轍(che)。這(zhe)(zhe)也被外(wai)界解讀為鋪路“南北船(chuan)(chuan)(chuan)”合并。

中船(chuan)集團(tuan)所(suo)屬江(jiang)南造船(chuan)集團(tuan)總工程師(shi)胡可(ke)一此前向媒(mei)體表示,此次造船(chuan)戰略性(xing)重組不一定是簡(jian)單地將企業(ye)(ye)在原來(lai)拆(chai)分的(de)基礎上再合(he)并,而應該是功能和(he)專業(ye)(ye)的(de)歸并和(he)整合(he),這樣才能更加符合(he)制造業(ye)(ye)高(gao)質量發展戰略。

合并(bing)利(li)好國內民船軍船兩領域發展

國(guo)資(zi)委研(yan)究中心有研(yan)究員此前對(dui)媒體表示,之(zhi)所以要(yao)推動(dong)船舶、化工(gong)等領域(yu)(yu)戰略性重(zhong)組,以及海工(gong)裝備(bei)、電(dian)力等領域(yu)(yu)專業化整(zheng)合,主(zhu)要(yao)是(shi)因為這些行業重(zhong)復(fu)建設(she)嚴重(zhong)、產業集(ji)中度(du)低、自(zi)主(zhu)創新能力不強、市(shi)場競爭力偏(pian)弱等問(wen)題(ti)較(jiao)為突出。推進區域(yu)(yu)資(zi)源整(zheng)合,有利于(yu)減少同(tong)質化競爭。

今年4月時,太(tai)平洋(yang)證(zheng)券曾表示(shi),民船(chuan)(chuan)(chuan)(chuan)方面(mian),目(mu)前(qian)國(guo)際貿易相(xiang)對(dui)不活(huo)躍,航運景氣度(du)仍(reng)處于低位,船(chuan)(chuan)(chuan)(chuan)舶需求量(liang)少,全球產(chan)能供過于求。在此行業背景下,“南北船(chuan)(chuan)(chuan)(chuan)”合并子公司船(chuan)(chuan)(chuan)(chuan)廠之(zhi)間競(jing)爭關系依舊,若能夠有效整(zheng)合產(chan)能,促進(jin)技術開發和(he)提(ti)升管理能力(li),有望提(ti)高整(zheng)體國(guo)際競(jing)爭力(li);軍船(chuan)(chuan)(chuan)(chuan)方面(mian),“南北船(chuan)(chuan)(chuan)(chuan)”一(yi)定程度(du)上有合作關系,合并后資(zi)源整(zheng)合將繼續(xu)加(jia)大我國(guo)軍船(chuan)(chuan)(chuan)(chuan)制造實力(li)。

太平洋證(zheng)券(quan)指出,南北(bei)船(chuan)(chuan)合(he)并利(li)(li)好國(guo)內民船(chuan)(chuan)、軍(jun)船(chuan)(chuan)兩領域(yu)發展。一方面(mian),民船(chuan)(chuan)是(shi)國(guo)際市場,目前,全球民用船(chuan)(chuan)舶需求(qiu)不足,我國(guo)在(zai)高端船(chuan)(chuan)舶方面(mian)競爭力(li)仍(reng)處(chu)于劣勢,南北(bei)船(chuan)(chuan)互相搶單壓價競爭不利(li)(li)于整體利(li)(li)益,也不利(li)(li)于提高國(guo)際競爭力(li)。

國金證(zheng)券研報認為,南(nan)北船(chuan)(chuan)資產(chan)、業(ye)(ye)務(wu)部分重(zhong)(zhong)疊(die)且各(ge)有(you)側重(zhong)(zhong),南(nan)船(chuan)(chuan)側重(zhong)(zhong)船(chuan)(chuan)舶(bo)制造,北船(chuan)(chuan)側重(zhong)(zhong)船(chuan)(chuan)舶(bo)設計與配套,若重(zhong)(zhong)組成功(gong),軍船(chuan)(chuan)業(ye)(ye)務(wu)將更(geng)好協同、民船(chuan)(chuan)業(ye)(ye)務(wu)有(you)望(wang)形成合力,突破高技術船(chuan)(chuan)型與共拓(tuo)海外市場。

有研究人(ren)士指出,南北船的(de)合并(bing)(bing)可使(shi)雙方在研發(fa)(fa)、制造(zao)和(he)配套(tao)方面實現資源互補,化解(jie)造(zao)船業存在的(de)產能過(guo)剩(sheng)問題,避免內耗(hao)的(de)產生(sheng)。同時,兩船合并(bing)(bing)有助于發(fa)(fa)揮(hui)規模效應,提高(gao)中(zhong)國全(quan)球競爭力(li),因此合并(bing)(bing)對雙方未來(lai)的(de)發(fa)(fa)展都有利。

業內(nei)普遍(bian)認為,南北(bei)船(chuan)(chuan)重組將減少民船(chuan)(chuan)領域不必要的競爭(zheng)以(yi)及重復(fu)建設問題,促(cu)進(jin)低端產能退出和技術進(jin)步;此外,在(zai)軍船(chuan)(chuan)方面,由于南北(bei)船(chuan)(chuan)在(zai)軍船(chuan)(chuan)研制上一直存在(zai)密切(qie)合作(zuo),合并后(hou)將更加利于我(wo)國海(hai)軍裝備實力的提(ti)升。

另外,有(you)業內專家表示,基于目前我國(guo)推動裝備走出去,打造面向全球的(de)競爭新優勢(shi)的(de)戰略方向,央(yang)企的(de)合(he)并(bing)能避免本(ben)國(guo)企業間的(de)惡性競標,加大海外競爭優勢(shi),提高產品的(de)海外占有(you)率。

本是同根(gen)生,兩(liang)大集團發展歷程

中(zhong)國(guo)船舶工(gong)(gong)業集團(tuan)公(gong)司(si)和中(zhong)船重工(gong)(gong)集團(tuan)有限公(gong)司(si)均源于1950年(nian)(nian)10月(yue)1日成立的中(zhong)央人民政(zheng)府重工(gong)(gong)業部(bu)(bu)船舶工(gong)(gong)業局,歷(li)經(jing)第(di)一機械(xie)工(gong)(gong)業部(bu)(bu)船舶工(gong)(gong)業管理局、第(di)三機械(xie)工(gong)(gong)業部(bu)(bu)第(di)九(jiu)工(gong)(gong)業管理局、第(di)六機械(xie)工(gong)(gong)業部(bu)(bu)、中(zhong)國(guo)船舶工(gong)(gong)業總公(gong)司(si),1999年(nian)(nian)7月(yue)1日,經(jing)國(guo)務院批準正式組建(jian)成立。

1、船舶工業局(ju)時期(1950.10-1953.1)

1950年10月(yue)1日,重工業(ye)(ye)部船(chuan)舶(bo)工業(ye)(ye)局(ju)成(cheng)立(li),1953年1月(yue),船(chuan)舶(bo)工業(ye)(ye)局(ju)劃歸第(di)一機械(xie)工業(ye)(ye)部,改名為(wei)船(chuan)舶(bo)工業(ye)(ye)管理局(ju),程望、鄧存(cun)倫先(xian)后任局(ju)長。

2、第(di)九工業管理局時期(1958.2-1963.8)

1958年2月(yue),第(di)(di)(di)一、二機械工(gong)(gong)(gong)業(ye)部(bu)合為第(di)(di)(di)一機械工(gong)(gong)(gong)業(ye)部(bu),船舶工(gong)(gong)(gong)業(ye)管理局(ju)改名(ming)為第(di)(di)(di)九工(gong)(gong)(gong)業(ye)管理局(ju)。1960年9月(yue)13日,第(di)(di)(di)一機械工(gong)(gong)(gong)業(ye)部(bu)分為第(di)(di)(di)一、三(san)機械工(gong)(gong)(gong)業(ye)部(bu),九局(ju)歸第(di)(di)(di)三(san)機械工(gong)(gong)(gong)業(ye)部(bu)領導,12月(yue),第(di)(di)(di)九工(gong)(gong)(gong)業(ye)管理局(ju)改名(ming)為第(di)(di)(di)九工(gong)(gong)(gong)業(ye)管理總局(ju)。鄧存倫、趙啟民、邊疆先后任局(ju)(總局(ju))長。

3、第六機械工業部(bu)時期(1963.9-1982.5)

1963年9月17日,第九工(gong)業總局(ju)從第三工(gong)業機(ji)械部分出,成立(li)第六機(ji)械工(gong)業部,方強、邊疆、柴樹藩(fan)、安志文先后任部長。

4、中國船舶工業總公司時期(1982.5-1999.6)

1982年5月4日,中國船舶工業總(zong)公司成(cheng)立,第六機械工業部建制(zhi)同(tong)時(shi)撤銷(xiao),柴樹藩任董事長,馮(feng)直、胡傳治、張壽、王(wang)榮生、徐(xu)鵬(peng)航先后(hou)任總(zong)經理(li)

5、 中國(guo)船(chuan)舶工業集團公(gong)司和中國(guo)船(chuan)舶重(zhong)工集團公(gong)司(1999.7~)

1999年7月1日,經國(guo)務(wu)院批準(zhun),中(zhong)國(guo)船舶工(gong)業集(ji)團公司(si)和(he)中(zhong)國(guo)船舶重工(gong)集(ji)團公司(si)正式成立。
